Meisenzahl — Annual base salary of $800,000 effective January 1, 2026; annual cash incentive compensation program with target award of 100% of base salary and maximum award of 200% of base salary; will enter into standard form officer change in control severance agreement providing: prorated annual bonus upon a change in control, and upon qualifying termination within two years following a change in control: (i) 2.5x the sum of base salary and annual bonus, (ii) 18 months of continued health care benefits, and (iii) outplacement services not to exceed 10% of base salary; also expected to participate in other components of the executive compensation program as described in the 2025 Proxy Statement filed March 6, 2025
